1. Who we are

Padfinder is operated by TODO_LEGAL_ENTITY, TODO_ADDRESS. In these terms, "we," "us," and "Padfinder" mean TODO_LEGAL_ENTITY. "You" means anyone using this site.

2. What this site is, and is not

Padfinder sources, buys, and resells used, surplus, and reconditioned electrical equipment, primarily distribution transformers.

We transact as a principal for our own account. When we buy equipment, we buy it ourselves. When we sell equipment, we sell it ourselves. We are not a broker, agent, or representative of any seller or buyer, and we do not act on anyone's behalf. We are not a marketplace or venue where third parties transact with each other, and this site does not create a contract between any two users.

This means our interests and yours are not aligned on price. We buy at one price and sell at another, and the difference is our compensation. We think you should know that plainly rather than discover it later.

3. Listings are not offers

Equipment shown on this site is provided for information. A listing is an invitation to discuss a transaction, not a binding offer to sell. Prices, availability, and specifications may change or be withdrawn at any time without notice. No contract exists until both parties sign a written purchase agreement.

4. Accuracy of information

Most equipment we list is located at a seller's site and has not been in our physical possession. Specifications are frequently derived from a nameplate photograph and from information the seller provided to us.

We label every unit with a verification tier describing exactly what has been confirmed:

• Listed: nameplate photograph only. Specifications are seller-reported. No documentation is on file.
• Verified: serial number confirmed with the manufacturer, ownership documented, dated inspection photographs on file.
• Certified: an acceptance test report from a third-party testing firm is attached.

The tier states what we checked. It does not imply anything we did not check. We do not warrant that seller-supplied information is accurate, and we encourage buyers to arrange independent inspection or testing before purchase.

5. Equipment is sold AS-IS

Except as expressly stated in a signed written purchase agreement, all equipment is sold AS-IS, WHERE-IS, WITH ALL FAULTS, and we disclaim all warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

We do not convey any manufacturer warranty. This applies to equipment described as new, new surplus, unused, or never energized as well as to used equipment. Manufacturer warranties are frequently unavailable on equipment that did not pass through an authorized distribution channel, or that was stored outside the manufacturer's specified conditions. If manufacturer warranty coverage matters to you, confirm it directly with the manufacturer before purchase.

Any specific representation about a unit's condition, testing, ownership, or history will appear in the signed purchase agreement for that unit. Statements on this site are not warranties.

6. Testing, inspection, and freight

We arrange testing, inspection, and freight through third-party firms. We do not perform testing or inspection ourselves and we are not a motor carrier, warehouse, or bailee.

Where we arrange these services, we contract with the vendor and bill you our price for the service. Our price is not a pass-through of the vendor's charge and may differ from it.

Test results are produced by the testing firm. We pass them along as received and do not independently verify them.

7. Payment

Payment terms are set out in the purchase agreement for each transaction. Unless that agreement says otherwise, payment is by wire transfer to TODO_LEGAL_ENTITY.

We do not currently offer escrow, and we do not hold funds as an escrow agent. Any condition on payment, any testing contingency, and any refund obligation will be stated in the written purchase agreement. Do not rely on any description of payment handling that does not appear in that agreement.

8. Title, delivery, and risk of loss

Equipment typically ships directly from the seller's site to the buyer's site. Title passes as specified in the purchase agreement. Risk of loss transfers as specified in that agreement, which controls over anything stated here.

9. If you are selling equipment to us

By submitting equipment through this site you represent that you own it or are authorized to sell it, and that you will tell us if ownership is unclear (for example, where a unit sits at your facility but belongs to the serving utility).

There is no fee to submit equipment and no obligation on either side. You are not committed to sell until you accept a written offer from us, and we are not committed to buy until we make one.

We may publish photographs and specifications of equipment you submit.

10. Non-circumvention

If we introduce you to a counterparty or disclose a specific unit or opportunity to you in confidence, you agree not to transact directly with that counterparty on that opportunity, or to circumvent us on it, for twelve months, without our written consent.

11. Acceptable use

Don't use this site to break the law, misrepresent who you are, scrape or harvest data in bulk, interfere with the site's operation, or submit equipment you have no right to sell. We may refuse service, remove listings, or decline any transaction at our discretion.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost production, or downtime, arising out of your use of this site or any transaction.

Our total liability arising out of any transaction will not exceed the amount you paid us for the equipment in that transaction.

Nothing here limits liability that cannot be limited under applicable law, and nothing here limits obligations expressly assumed in a signed purchase agreement.

13. Indemnity

You agree to indemnify us against claims arising from your breach of these terms, your misrepresentation of equipment you submit, or your use or installation of equipment purchased from us.

14. Governing law and disputes

These terms are governed by the laws of the State of Ohio, without regard to conflict of law rules. Any dispute will be brought in the state or federal courts located in Ohio, and you consent to that jurisdiction.

15. Changes

We may update these terms. Material changes take effect when posted with a revised effective date. Terms in effect at the time of a transaction govern that transaction.
